1. Conditions of Service

These Terms & Conditions apply to all services provided by VMK Trading LLC (“VMK Trading”, “we”, “us”, “our”) relating to international and domestic freight forwarding, logistics, and related services. By requesting a quote, booking a shipment, or otherwise using our services, you (“Client” or “Shipper”) agree to be bound by these Terms & Conditions.

2. Freight Forwarding Services

VMK Trading acts as a freight forwarder and transport manager only. We coordinate the movement of cargo by air, ocean, and land, but unless otherwise expressly stated, we do not act as a carrier or assume the obligations of a carrier. All transportation services are subject to the applicable carrier, customs, and other regulatory conditions.

3. Applicable Conditions

Where freight transportation is involved, VMK Trading’s services are governed by the standard industry freight forwarding conditions relevant to the jurisdiction of the service provided, including but not limited to international conventions, carrier tariffs, and standard trading conditions recognized in the freight forwarding industry. These conditions apply with the exception of any provisions expressly excluded or modified in writing by VMK Trading.

4. Shipments, Documentation & Compliance

The Client must provide complete and accurate shipment details, including descriptions, weights, dimensions, documentation, and any special instructions, no later than the time of booking. The Client is responsible for ensuring compliance with all applicable laws, customs requirements, export/import regulations, and security rules. VMK Trading assumes no liability for delays, fines, or penalties resulting from incomplete or incorrect documentation.

5. Liability

VMK Trading’s liability for loss, damage, or delay of goods is limited to the maximum extent allowed under applicable laws and conditions governing the carriage or logistics services. Unless a higher value is declared and additional valuation charges are paid, liability shall be limited to the amount stated in the governing contract or applicable freight forwarding conditions.

6. Pricing & Payment

Quotes provided by VMK Trading are estimates only and may be adjusted due to carrier charges, fuel surcharges, duties, or other fees beyond our control. Invoices are due and payable according to the agreed payment terms. Late payments may incur interest and/or collection fees.

7. Subcontracting & Routing

VMK Trading may arrange for services to be performed by agents, carriers, subcontractors, or partners without notifying the Client. Routing, transport mode, and service providers may be selected at VMK Trading’s discretion unless otherwise agreed in writing.

8. Claims

All claims for loss, damage, or delay must be submitted in writing within the timeframes required by the applicable transport conditions, carrier terms or other governing rules. Supporting documentation (booking confirmation, packing list, photos, etc.) must be provided. Claims not submitted within the prescribed period may be rejected.

9. Customs, Duties & Taxes

VMK Trading may assist with customs processes, but the Client remains responsible for payment of all applicable duties, taxes, fees, and penalties arising from import/export processes.

10. Governing Law

These Terms & Conditions and any disputes arising from them shall be governed by the laws of the jurisdiction in which VMK Trading LLC is registered.

11. Amendments

VMK Trading reserves the right to update or modify these Terms & Conditions at any time without prior notice. Continued use of our services after changes are posted constitutes acceptance of those changes.

12. Entire Agreement

These Terms & Conditions, together with any written agreements between VMK Trading and the Client, constitute the full and complete understanding between the parties regarding the services provided.
